Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Base Unit LLC ("Company", "we", "us", "our"), the owner and operator of CostGuard ("the App", "the Service"). By downloading, installing, or using CostGuard, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years of age to use CostGuard. By using the Service, you represent and warrant that you meet this requirement. If you are under 18, you represent that you have your parent or guardian's permission. Base Unit LLC reserves the right to terminate accounts of users who misrepresent their age.

2. Description of Service

CostGuard is a subscription management application developed by Base Unit LLC. The Service enables users to:

  • •Scan connected email inboxes to automatically identify recurring subscription charges
  • •View, organize, and track subscriptions across weekly, biweekly, monthly, and yearly billing cycles
  • •Receive push notifications before subscription renewals
  • •Cancel detected subscriptions directly through the App (subject to Section 5)
  • •Analyze total subscription spend by category

CostGuard is an informational and organizational tool. It does not provide financial, legal, or accounting advice. Base Unit LLC is not responsible for financial decisions made based on information displayed within the App.

3. User Accounts & Email Access

To access the Service, you must create an account. You agree to:

  • •Provide accurate, current, and complete registration information
  • •Maintain the confidentiality of your account credentials
  • •Only connect email accounts that you own and have full authority over
  • •Not share your account with any third party
  • •Notify Base Unit LLC immediately of any unauthorized use of your account at support@costguard.app
  • •Accept full responsibility for all activity conducted through your account

When you connect an email account, you grant Base Unit LLC read-only OAuth 2.0 access strictly for the purpose of identifying subscription-related emails. This access does not permit us to read personal messages, send emails, or modify your inbox in any way. You may revoke this access at any time via Settings → Connected Accounts.

4. Subscription Plans & Billing

4.1 Free Plan

The free version of CostGuard provides basic subscription detection and tracking functionality at no cost.

4.2 Pro Monthly — $4.99/month

The Pro Monthly plan unlocks unlimited email scans, unlimited connected email accounts, advanced spending trends, priority support, and early access to new features. The subscription is billed at $4.99 per month and automatically renews each billing cycle unless cancelled at least 24 hours before the renewal date.

4.3 Pro Lifetime — $49.99 (Limited)

The Pro Lifetime plan provides permanent access to all Pro features for a single one-time payment of $49.99. This offer is strictly limited to the first 1,000 purchasers. Once the limit is reached, this plan will no longer be available. Lifetime access includes all future feature updates at no additional cost. Base Unit LLC reserves the right to add premium features to a separate tier in the future that are not covered by the Lifetime plan.

4.4 In-App Purchases

All purchases are processed through the Apple App Store or Google Play Store. By making a purchase, you also agree to the applicable store's terms and conditions. Base Unit LLC does not directly process payment card information.

4.5 Price Changes

Base Unit LLC reserves the right to modify subscription pricing at any time. Existing subscribers will be notified of price changes with reasonable advance notice and may cancel before the new pricing takes effect.

5. One-Click Cancellation Feature

CostGuard provides a one-click cancellation feature that attempts to initiate the cancellation process for detected third-party subscriptions on your behalf. By using this feature, you acknowledge and agree that:

  • •Cancellation success depends entirely on the policies and technical infrastructure of the third-party service provider.
  • •Base Unit LLC does not guarantee that a cancellation request will be accepted, processed, or confirmed by the third-party provider.
  • •You remain solely responsible for verifying that your cancellation was successfully processed with the third party.
  • •Base Unit LLC is not liable for any charges incurred due to a failed or incomplete cancellation.
  • •Some subscriptions may require additional steps (e.g., contacting the provider directly) that cannot be automated.

This feature is provided as a convenience tool only. Always confirm cancellation directly with the service provider.

6. Cancellation of Your CostGuard Plan & Refunds

You may cancel your Pro Monthly subscription at any time through your Apple App Store or Google Play Store account settings. Upon cancellation:

  • •You will retain Pro access until the end of the current paid billing period.
  • •No partial or prorated refunds are issued for unused subscription time.
  • •Your account will automatically revert to the Free plan at the end of the billing period.

The Pro Lifetime plan is a non-refundable one-time purchase. All sales are final except where required by applicable law. Refund requests are handled solely by Apple App Store or Google Play Store in accordance with their respective refund policies. Base Unit LLC has no authority to issue refunds outside of those platforms.

7. Intellectual Property

The CostGuard name, logo, app design, code, content, and all associated intellectual property are the exclusive property of Base Unit LLC and are protected by applicable copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, sublicense, or create derivative works of any part of the Service without prior written consent from Base Unit LLC.

8. Prohibited Conduct

You agree not to:

  • •Use the Service for any unlawful, fraudulent, or unauthorized purpose
  • •Connect email accounts you do not own or have authorization to access
  • •Attempt to gain unauthorized access to any part of the Service or its backend systems
  • •Interfere with, disrupt, or degrade the performance or security of the Service
  • •Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
  • •Use automated bots, scrapers, or similar tools to access the Service
  • •Transmit malware, viruses, or any malicious or destructive code
  • •Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • •Circumvent any security, authentication, or access control measures in the Service

Violation of this section may result in immediate account termination and, where applicable, referral to law enforcement.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. BASE UNIT LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE ACCURACY OF SUBSCRIPTION DATA DETECTED VIA EMAIL SCANNING IS NOT GUARANTEED AND MAY NOT REFLECT ALL ACTIVE CHARGES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BASE UNIT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL BASE UNIT LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BASE UNIT LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) $10.00 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless Base Unit LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including any intellectual property or privacy rights; or (d) any misuse of the one-click cancellation feature or email access granted to the Service.

12. Termination

Base Unit LLC reserves the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that violates these Terms, is harmful to other users, or for any other reason at our sole discretion. Upon termination, your right to use the Service immediately ceases. Termination of a paid plan does not entitle you to a refund except as required by applicable law or app store policy. Sections 7, 9, 10, 11, and 13 survive termination.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

Base Unit LLC reserves the right to modify these Terms at any time. Material changes will be communicated via a notice within the App or by email at least 7 days before they take effect. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
